We at Footprints Recruiting Incorporated ("Footprints") have set out these terms and conditions to clarify the relationship between you, the teacher applicant, your prospective employer abroad (the "Contracting Organization") and Footprints. Please read the following carefully before agreeing to work with Footprints.  By using Footprints’ services, and by clicking the "Agree" box for this Agreement, you agree to the statements set out below and agree to be bound by, and to comply with, the terms of this Agreement.

You authorize Footprints to collect personal information, such as name, username, email address, address, work history, academic history and other non-financial personal information to determine your eligibility to teach English abroad (the "Activity"). You authorize Footprints to use this information to present you to any potential Contracting Organization and to its preferred travel agent to attempt to obtain employment and arrange travel for you. You accept and authorize Footprints to use the personal information collected from you to offer customized web features, an email newsletter, and, from time to time, special placement offers by email. You authorize Footprints to contact the university(ies) you attended to establish proof of your academic history and you authorize Footprints to inform your university of your current status with Footprints.

Your personal information shall be used solely for the purposes described above.

Resumes, cover letters, or pictures sent to Footprints shall be kept private and shall only be used to present you to any potential Contracting Organization.

Use of the Footprints web site is anonymous and is not tracked or monitored except at the aggregate level. A record of accesses, in the form of an IP log, is kept only to monitor overall server usage. These logs are strictly confidential and shall not be disclosed, sold, or accessed by unauthorized employees of Footprints or its affiliates.

Any feedback data, such as questions, comments, suggestions, or the like(collectively "Feedback"), shall be deemed to be non-confidential. Footprints shall have no obligation of any kind with respect to such Feedback and shall be free to reproduce, use, disclose, exhibit, display, transform, create derivative works from and distribute the Feedback to others without limitation. Further, Footprints shall be free to use any ideas, concepts, know-how or techniques contained in such Feedback for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products incorporating such Feedback.

Being accepted as a candidate by Footprints does not constitute a guarantee that you shall receive an offer of employment to participate in the Activity.

Footprints, in its sole discretion, shall endeavor to help you obtain a contract to participate in the Activity (a "Teaching Contract"). If you receive an offer to participate in the Activity and you accept that offer, you are responsible and liable for obtaining a passport, immigration visa(s) and other personal documentation appropriate for participating in the Activity, as well as arranging or coordinating transportation and accommodations to your satisfaction, and paying all costs and expenses related to your participation in the Activity.

While Footprints shall endeavor to provide a reasonable amount of support and assistance to you if you are employed as a result of Footprints’ placement and recruiting services, any Teaching Contract shall be solely between you and the Contracting Organization. Footprints is not responsible or liable for breach of a Teaching Contract by either party, nor for any situation, including school closure or bankruptcy of the Contracting Organization, that results in a Teaching Contract not being fulfilled. If you are terminated for any reason by a Contracting Organization, it is not Footprints’ responsibility to rectify the situation or to find you alternative or interim employment.

Footprints is not and shall not be responsible or liable for your transportation, accommodations or other services or products to be provided by the Contracting Organization or any other third party in connection with the Activity, and Footprints is not and shall not be liable for any other acts or omissions of such third parties.

You fully assume all risks to person and property in connection with your participation in the Activity, including, but not limited to, travel delays, property damage and loss, bodily injury, sickness, disease and death. You are in sufficient physical and mental health to participate in the Activity, and do not have any physical or mental conditions which could affect your ability to participate in the Activity. You have or shall have medical insurance coverage appropriate for your participation in the Activity. Footprints shall not provide any insurance for you in connection with your participation in the Activity.

You shall comply with all applicable laws of any jurisdiction in which you may travel, including drug laws, while participating in the Activity. If your participation in the Activity is at any time deemed detrimental to the Contracting Organization, as determined in the sole discretion of Footprints or the Contracting Organization. You may be terminated by the Contracting Organization without Footprints incurring any liability.  You may incur liability to Footprints under this Agreement if you engage in illegal acts abroad, break a Teaching Contract with a Contracting Organization or enter into a Teaching Contract in bad faith.

You fully and forever INDEMNIFY, RELEASE, WAIVE AND DISCHARGE, and COVENANTNOT TO SUE, Footprints, its directors, officers, employees, agents, representatives, affiliates, sponsors, successors and assigns, from and for any and all demands, claims, actions, suits, damages, losses, liabilities, costs and expenses (including, but not limited to, court costs and attorneys’ fees), from any cause whatsoever (including, but not limited to, travel delays, property damage and loss, bodily injuries, sickness, disease and death), whether directly or indirectly arising in connection with your participation in the Footprints recruiting and placement process and the Activity, whether or not foreseeable or contributed to by the negligent acts or omissions of Footprints or others.

This Agreement constitutes the entire agreement, and supersedes any prior or contemporaneous agreements, understandings and negotiations, regarding this subject matter. This Agreement may not be amended by course of conduct or otherwise, and may not be assigned in whole or in part, except in writing duly executed by Footprints and you. This Agreement shall be interpreted and enforced in accordance with the laws of the Province of British Columbia, without regard to any conflicts or choice of law principles, and shall be as broad and inclusive as permitted by such laws.  You irrevocably submit and attorn to the exclusive jurisdiction of the courts of the Province of British Columbia and the courts of appeal there from in respect of all matters arising out of or in connection with the your dealings with Footprints. If any provision of this Agreement is held unenforceable by a court, such unenforceability shall not affect any other provision, and this Agreement shall be construed as if such provision, to the extent of such unenforceability, had not been incorporated herein.
